Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Vikreya ("Vikreya," "we," "us," or "our"), which operates the marketplace at www.vikreya.com and related applications and services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Please note: Section 21 contains a binding arbitration clause and class-action waiver that affect how disputes are resolved. Sections 17–19 limit our liability.

1. Agreement & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that the information you provide is accurate and that your use complies with all applicable laws. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Accounts & Registration

Some features require an account. You may register as an individual user or a business owner. You agree to provide accurate, current information; keep your password secure; and accept responsibility for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are used for fraudulent or unlawful activity. You may maintain only one account unless we authorize otherwise.

3. The Marketplace — Trades & Listings

Vikreya is a venue that lets users list, buy, sell, and trade goods and services with one another. Vikreya is not a party to any transaction between users. We do not manufacture, inspect, own, or take possession of listed items, and we do not guarantee the existence, quality, safety, legality, or accuracy of any listing or the ability of participants to complete a transaction.

You are solely responsible for your listings and transactions, including the accuracy of descriptions and images, setting prices, communicating with counterparties, arranging delivery or pickup, and complying with applicable laws and taxes. You may list only items and services you have the right to sell or trade, and that are permitted under Section 14. We may remove any listing at our discretion.

4. Services Marketplace

Business owners may publish service listings, including free and premium (paid) listings. If you offer services, you are responsible for accurately describing your services, honoring the terms you advertise, holding any required licenses, and delivering services to your customers. Premium listing placement and features are provided on the terms presented at checkout and do not guarantee any particular result, ranking, or volume of inquiries or sales.

5. Subscriptions & Free-Trade Quota

The Services may offer a recurring free-trade allowance that resets on a periodic basis, along with paid subscription plans and add-on packs that provide additional listings or features. The current allowances, prices, and renewal terms are those presented in the Services at the time you subscribe. Paid subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your account; cancellation stops future renewals and takes effect at the end of the current billing period. Unused free-trade allowances do not carry over except as expressly stated.

6. Purchases, Fees & Payment

Paid features — including subscriptions, premium service listings, and other purchases — are billed through our third-party payment processor (Stripe). By providing payment information, you authorize us and our processor to charge the applicable fees, taxes, and recurring amounts to your selected payment method. You represent that you are authorized to use it. Prices are shown in U.S. dollars and may change prospectively. You are responsible for any taxes not collected by us. If a charge fails, we may suspend the associated paid features.

7. Refunds & Cancellations

Except where required by law or expressly stated at checkout, fees are non-refundable and there are no refunds or credits for partially used subscription periods, listings, or features. For purchases made from third-party retailers through affiliate links (Section 9), refunds and returns are governed solely by the retailer's own policies. If you believe you were charged in error, contact us at support@vikreya.com.

8. Rewards, Cash-Back & Gift Cards

The Services include a rewards program under which you may earn points and cash-back and redeem them, including for gift cards, as described in the program details. Points and cash-back have no cash value except as expressly provided, are personal to you, are non-transferable, and may not be sold or combined between accounts. Rewards may be earned only for genuine, completed, qualifying activity. We may adjust, withhold, reverse, or forfeit rewards obtained through error, fraud, returned or cancelled purchases, or violations of these Terms, and we may modify or discontinue the program prospectively. Rewards balances are forfeited if your account is terminated for cause.

9. Smart Deals & Affiliate Content

Smart Deals and related shopping features display products, prices, and offers sourced from third-party retailers and affiliate networks (such as the eBay Partner Network and Impact/Rakuten). These listings are provided for convenience; prices, availability, and details are set by the retailers and may be inaccurate or out of date. When you follow an affiliate link and complete a purchase, we may earn a commission, a portion of which may fund cash-back or rewards. Your purchase is a transaction with the retailer, not with Vikreya, and is governed by the retailer's terms and privacy policy. We are not responsible for third-party products, fulfillment, or customer service.

10. Coupons & Promotions

Coupons, promotional codes, and offers are subject to the specific terms stated with each offer, may be changed or withdrawn at any time, cannot be combined unless stated, have no cash value, and are void where prohibited. We are not responsible for a third party's failure to honor a coupon.

11. Reviews & Ratings

You may post reviews and ratings of listings, services, and sellers. Reviews must reflect your genuine, first-hand experience and must not be false, misleading, defamatory, offensive, or posted in exchange for compensation. Reviews may be subject to editing or time-based restrictions on modification or deletion. We may remove reviews that violate these Terms but are not obligated to monitor them. You grant us the license in Section 12 to display your reviews.

12. User Content & License

"User Content" means anything you post or submit — listings, images, descriptions, reviews, comments, messages, and profile information. You retain ownership of your User Content. You grant Vikreya a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and distribute your User Content for the purpose of operating, promoting, and improving the Services. You represent that you own or have the rights to your User Content and that it does not infringe any third-party rights or violate any law. We may remove User Content that violates these Terms.

13. Messaging & Communications

The Services let you exchange messages with other users. Use messaging only for legitimate, transaction-related purposes. Do not use it to send spam, solicitations, harassment, or unlawful content, or to circumvent the Services. We may access, review, and retain messages to operate the Services, enforce these Terms, and comply with law, as described in the Privacy Policy.

14. Prohibited Activities

You agree not to:

  • List, sell, or trade anything illegal, counterfeit, stolen, recalled, hazardous, or that you lack the right to sell, or that is otherwise prohibited by our policies.
  • Post false, misleading, infringing, defamatory, obscene, or harassing content.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Manipulate rewards, cash-back, coupons, reviews, or pricing, or engage in fraud or money laundering.
  • Circumvent fees, complete off-platform transactions to evade these Terms, or operate more than one account to gain an advantage.
  • Use bots, scrapers, or automated means to access or collect data from the Services, or attempt to gain unauthorized access to any system.
  • Introduce malware, disrupt the Services, or interfere with other users.
  • Infringe intellectual property or violate any applicable law or regulation.

15. Intellectual Property

The Services, including their software, design, text, graphics, logos, and the "Vikreya" name and marks, are owned by Vikreya or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services except as permitted by law or with our written consent.

16. Third-Party Sites & Content

The Services may link to or display third-party websites, products, and content, including affiliate retailers and payment providers. We do not control and are not responsible for third-party sites or content, and their inclusion does not imply endorsement. Your dealings with third parties are solely between you and the third party.

17. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT LISTINGS, PRICES, DEALS, OR OTHER CONTENT ARE ACCURATE OR RELIABLE. BECAUSE VIKREYA IS A VENUE AND IS NOT A PARTY TO TRANSACTIONS BETWEEN USERS OR WITH THIRD-PARTY RETAILERS, WE MAKE NO WARRANTY REGARDING ANY ITEM, SERVICE, USER, OR TRANSACTION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAKSHA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR REWARDS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY TRANSACTION. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

19. Indemnification

You agree to indemnify, defend, and hold harmless Vikreya and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Services, your transactions with other users or third parties, or your violation of these Terms or any law or third-party right.

20. Term & Termination

These Terms remain in effect while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, create risk or legal exposure, or for any lawful reason. On termination, your right to use the Services ends; provisions that by their nature should survive (including Sections 8, 12, 15, and 17–21) will survive.

21. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles.

Informal resolution. Before filing a claim, you agree to contact us at legal@vikreya.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. Except for claims that qualify for small-claims court and claims seeking injunctive relief for intellectual-property infringement, any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration administered under applicable arbitration rules, seated in Colorado. You and Vikreya waive the right to a jury trial and to participate in a class action. Arbitration will be conducted on an individual basis only. If this class-action waiver is found unenforceable, the remainder of this Section will still apply, and any class or representative claim will proceed in court. You may opt out of arbitration by emailing legal@vikreya.com within 30 days of first accepting these Terms.

22. Changes to These Terms

We may modify these Terms from time to time. We will post the revised Terms here and update the "Last updated" date above; material changes may be communicated by additional notice. Your continued use of the Services after changes take effect constitutes acceptance. If you do not agree, stop using the Services.

23. Electronic Communications

By using the Services, you consent to receive communications from us electronically, including notices sent by email or posted in the Services, and you agree that electronic communications and records satisfy any legal requirement that such communications be in writing.

24. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Vikreya regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. There are no third-party beneficiaries. Section headings are for convenience only.
